Earn Money -- the Distributor Program
Want to Earn Money on the Internet? Join us as an Independent Distributor -- It does have a Membership Fee to join, but other than that there are no hidden costs, and you can be your own boss.
By no means, are we a get-rich-quick multi-level business, and we have changed the program a little bit as of 10/1/03, adding a membership fee to join. We are a real company, selling real products, but we do use the MLM method of recruiting independent distributors to do the selling. Why? It works, and it works out to everyone's benefit. You are basically independent to do what you want. Almost all of our business is on the Internet, and the potential income is incredible!
We encourage you to search our site and homepages, and learn what we sell and what product lines you might want to concentrate on. Here again, the amount of involvement is up to you. You can be a Distributor promoting one product or concentrate on promoting all of our trees and plants... then You decide.
After you have learned what we do, and how you want to become involved, then you just fill out the Distributorship Form, and, Confidentiality & Proprietary Agreement Form. Make a copy of all forms and materials to keep for your records. Return them to us by e-mail or regular mail, and we will reply with your unique Distributor ID# and Account Password. We will maintain your activity in a personalized account webpage that you can access anytime using your 8-digit password. Activities will be updated at least once per month. Its pretty easy, and you'll be set to go!
The amount of involvement and activity will be up to you. The more involved you become, the more sales you'll have, and thus a higher commission check. Don't be concerned about the how to promote, we can help you how to promote and where on the Internet, plus a few ideas to promote off the Web. We have changed the program a little bit as of 10/1/03, adding a membership fee to join. In the past, to join had no cost, but we found that the distirbutors didnt do much... So, to get good quality distributors, we have increased the incentives. If you are serious about joining, then we have a $79.95 Membership Fee to join. If you serious, and if you will put the effort into the program, you can earn many times this quickly. Talk to us, and we will work with you to help you get your program running.
Distributor earns 15% commission + Bonuses
The Distributor is actively involved in promoting any of the products or product lines, and gains 15% commission on all finalized sales, plus bonuses when sales reach various levels. Commissions can be earned up to 25%, which we will explain below in the Compensation section.
How you create sales is up to you, but this is the approach we suggest. Develop a website or homepages and have customers contact you. Promote the webpages by - submitting the page URL's to the various search engines, classified ads, and other resources to advertise it. Take advantage of placing links and banners on your existing webpages and link exchange programs, as well as using e-mail strategies, and placing advertising materials in outgoing mailings, plus other non-web promotions.
The whole idea of the Distributor is one who actively promotes the product(s)
through as many channels as they you to be involved with. Because there are many creative
and inventive people out there, we give you the freedom to do your own thing. See the section
called Web-Resources, and, What Can and Can Not be Done section.
You place your Identification Code on all correspondence to us, so we know who its from, and who to send the check to!
What we did, was close our wholesale nursery, and took it on-line. We still have a retail store, but now most of our sales are over the web. Our primary product lines are fast-growing trees for the home, farm or ranch, landscape, and tree planting projects. Unlike other nurseries, we will sell one individual plant or any number the customer wants. We have Visa and Mastercard processing, through our Secure Order Form, so safety is assured. However, we do not accept C.O.D. orders, and we like to discourage people paying for products with cash. Other than that, check, money orders, PayPal, and cashiers check are accepted.
We have a growing list of trees available, and we are always adding more items like shrubs, seeds, berry plants, and non-nursery items. One of the ideas to keep in mind, is to listen for what people are asking for. If we don't have something listed, we can probably get it, and get it at a price that is very fair. If the demand is good, it may end up on the regular product list.
You can visit your personalized distributor homepage on our website using your password. Your personal monthly activity account will show your finalized sales for the month, and other information.
The payment for all finalized sales will be made once per month (the end of the month), and checks will be distributed according to the monthly personalized account statement maintained by Empire National Company, LLC. Minimum check that will be issued is $10.00, and issued within two weeks after the month end. Any amount below this, will remain in the distributor account and will carry forward until the minimum payment figure is reached. Payment checks will be sent to the address shown on the Distributorship Agreement Form. A finalized sale is one where the order has been fully paid for, with funds in possession at ENC, less any shipping or other costs.
Each Distributor will be responsible for their own tax liabilities. Empire National Company, LLC will issue a Substitute 1099B form, or 1099Misc., by December 31st for the respective tax year. Do consult with your tax planner or CPA regarding all of your tax matters.
Example 1: Sales credited to Bob Smith for the month of May totals $50. At the end of the month, he earns $7.50. Since this is less than the ten dollar minimum check issued, that amount will be held in the account until the figure exceeds or matches ten dollars. Hopefully next month, he makes more sales.
Example 2: Sales credited to Betty Doe for the month of January totals $100, but, there were shipping charges totaling $10 (shipping is not free), making her base total $90. At the end of the month, she earns $13.50.
How the Bonus incentives work. It is simply based on the total sales figures for a particular month, as stated above. As sales dollar barriers are reached a bonus will be added, until 35% payment is reached.
We are not yet sure how much can be sold by a single distributor per month, but should monthly sales exceed $10,000, then we will want to have a long serious discussion with that distributor.
Bonus incentives are -
- the month net sales from $1 to $1000, you get 15% commission
- the month net sales from $1001 to $5000, you get 15% + a bonus of 10%= 25%
- the month net sales exceeds $5001, you get 15% + a bonus of 20% = 35%
Example 4: Sales credited to Bill Gone for the month of August totals $1,031, but, there were shipping charges totaling $33 (shipping and handling are not free), making his base total $998. At the end of the month, he earns $149.70.
Example 5: Sales credited James Brown for the month of November totals $5,200, but, there were shipping charges totaling $100. making his base total $5,100. At the end of the month, he earns $1,785!
This program pays more than the other programs, because there is more time and effort
involved in promoting our products. The greater the sales, the bigger the bonus. Exceed
$10,000 in one month, and we will have a special discussion with you about becoming a regional sales manager!
The Internet is young and going through many changing. Even now, there are many services that are free for people to use, but this is changing. As a Distributor, you can gain or increase access and participation on the Web. Anyone can sign up for free homepages, place free classified ads, and submit the URL addresses of those free homepages to the various search engines. In doing so, you can promote our products or anything else you want to do on the web.
The below listed resources are some of those we have used, and they are free. Certainly, it is not the complete list, and it tends to change, but it will help get you started. Once you have a homepage, then use classified ads to spread the word about that webpage or/and the products for sale. Contact the search engines to have your homepage URL listed in their databases, and that's a good start also. Then spread the word through other promotional tools.

There are many other resources available out there to help you sell products for a fee, and
we offer website promotional services as well. Also look into newsgroups, auctions, chat rooms, bulletin
boards, discussion groups, and the various ads and information sources for ways to promote your
homepage or these products for sale. Drop people little e-mail notes about how you can help
them or answer their questions. Put logos, e-mail addresses, and URL's on mail and anything
that is published. Use graphics programs to add your personal touch to outgoing pictures and
mail. There are many ways to promote, just try a few and find what works.
Empire National Company, LLC allows the Distributor to copy and use many of the logos, graphics, words and text materials from our webpages and other sources for the purpose of promoting our products. On the webpages, just highlight and copy, then paste them into your word processor or graphics programs. We can supply you with graphics and logos also.
Not all of the materials on our webpages are ours, or available to use. Only those stated as belonging to ENC, may be used without causing any propreitary problems. We want our Distributors to get creative and feel free to promote our business in the ways that they are best able to do so. Create your own banners and graphic materials, pictures, and word-copy. It must be understood that by using our materials, we are giving permission to do so, provided: (a) that the use is as per the terms of the Agreements signed, (b) those materials NOT from Empire National Company, LLC may not be used, unless, properly credited to the copyright owners, and, not altered in any manner, (c) that copied materials contexts are not changed or altered in a way that deceives or makes false claims about Empire National Co., LLC or subsidiaries, (d) that all conduct using our materials or those entrusted to us, will be used honestly, and (e) the Distributor takes responsibility for using such items.
We just want it to be understood that copying our materials is fine with us, as long as its in fair and honest business dealings. To do otherwise is a breach of the Agreements.
It's easy and free, to sign up as a distributor for any or all of the programs. Just download or copy the two forms - Distributorship Agreement form, and, the Confidentiality & Proprietary Agreement Form, fill them out, and send them back via regular mail. We want a physical copy in our paper files. We can mail a set of forms to you also if you prefer. All of the information you provide will be held strictly confidential. We will then issue you a unique Distributor Identification Name and an Account Password. You will use those to log-in into the ENC Distributor website and check your monthly sales information. Any questions you, may have, always feel free to ask us. We urge you to always keep copies of all materials, and keep them in a secure location.

We check the mail several times a day, minus certain

This Agreement is made and entered into as of this ____ day of _____________ (month)

therein after referred to as a Distributor.
(1) Distributor. ENC hereby designates _______________________________ (your name),
a Distributor for ENC, LLC.
(2) Term. The Term of this Agreement shall be valid until 12/31/2002, unless terminated by the
Distributor in writing to Empire National Company, LLC. Electronic written notice will be
considered valid. Termination of this Agreement may be made by Empire National Company,
LLC for failure to adhere to the terms stated herein, or with mutual consent of the Distributor.
(3) Agrees. The Distributor hereby agrees to maintain in good condition any supplies, materials,
or products of ENC that is in their possession, while in the service of customers or potential
customers. To assist the Distributor, ENC agrees to: (a) provide technical information if
available, (b) make recommendations on all matters related to this Agreement and products
promoted for sale, (c) assist the Distributor with sales information or literature when necessary,
and (d) assist the Distributor in meeting product or material demands as deemed necessary for
customer sales fulfillment.
(4) Use of ENC name: Distributor may use the name(s), word(s), logo(s), and URL address(es)
of ENC, LLC in accordance of ENC policy and Agreement, provided that such is not altered in
any adverse manner from the original text or context as from materials published, printed or
electronically available to the public at-large, wherein ENC has the Right to make such
declarations. Upon termination of this Agreement, the Distributor must remove all name(s),
word(s), logo(s), and URL address(es) of ENC, LLC, as were used in promoting business and
activities as a Distributor of ENC, LLC; and any and all representations and connection
between Distributor and ENC, LLC, will be discontinued immediately.
(5) Compensation. ENC agrees to the terms set forth, contained and agreed to within the ENC
Agreement referred to as Distributorship Agreement Form, specific with and to each
Distributor.
(6) Excusable Nonperformance. Neither party shall be held liable for failure to perform any
promise in this Agreement due directly or indirectly to cause beyond its control and without its
fault or negligence, including, but not restricted to, acts of God, acts or the public enemy, acts of
the United States, and State or Territory of the United States, or any political subdivision of the
foregoing, acts of the other party to this Agreement, its agents, employees, or sub-contractors,
fires, floods, epidemics, quarantine restrictions, strikes, freight embargoes, and unusually severe
weather conditions.
(7) Waiver. Failure or delay on the part of ENC or the Distributor to excise any right, power, or
privilege hereunder shall not operate as a waiver thereof.
(8) Prior Negotiations. This Agreement constitutes the entire Agreement of the parties hereto
and shall supersede all prior offers, negotiations, and agreements.
(9) Amendments. No revision of this Agreement shall be valid unless made in writing and signed
by the founder or owner of ENC, LLC.
(10) Assignment. No assignment or transfer in whole or in part of this Agreement shall be
binding upon ENC or the Distributor, without written consent thereto by the other party.
(11) Confidential & Proprietary Information. Whereas, both parties: ENC and the Distributor,
for the mutual benefit, wish to discuss certain technical, non-technical and business matters
concerning the Internet Proprietary information shall meet any and all information and/or ideas,
drawings, images, graphics, Web Sites or Web Pages, Search Engine designs, authoring,
advertising, programming, hardware and software, ENC customers and customer lists, methods
of operations and format which ENC wishes to keep confidential, includes but is not limited to
the aforementioned, is taken to include all aspects of business and remain the sole property of
ENC unless so indicated as information and/or ideas, etc., specifically stipulated as non-
proprietary information are to be written form, by an appropriate legend, marking, or stamp
thereon, of if orally or visually disclosed, are identified by the disclosing party as non-proprietary
information used or disclosed by ENC, shall remain the property of ENC all during and while
the Distributor is an authorized Distributor and thereafter for a period of five (5) years from the
date of the Distributor discontinues being an authorized Distributor.
All aspects between ENC
and the Distributor are to be considered confidential and any and all damages, losses, and costs
resulting to ENC from and by the distributors breaches relating to what ENC considers
proprietary information, ENC will be fully reimbursed for any and all loses, past, present, and
future income resulting from any and all losses, any and all damages, fees, collection, and
including reasonable attorney fees and becomes involved in any legal action regarding any sums
and incurs any expenses shall be entitled to collect from the Distributor.
This Agreement shall be interpreted in accordance with the laws of the State of Oregon, without
regard to the conflicts of law principles of such other States. In witness whereof, the parties have
caused this agreement to be duly executed as the date above written.
